What is the Board's role?
The board of directors is the legal representative of the owners and is responsible for the overall well being of the Co+op. The board exercises its authority through its relationship with the general manager, whom it hires and monitors. All of the board's expectations and requirements for the Gm's performance are stated in the board's written policies. The Board ensures the Co+op's success by making sure that the GM remains in compline with the board's policies.
What The Board Does Not Do
The board does not involve itself in operational details. It does not make decisions about what the Co+op stocks, its personnel (other than the GM), or the color of the walls. The board governs by declaring through its policies the results and the actions it wants the GM to avoid while achieving those results.

The Board seeks candidates with the following capabilities:
a. Constructive and creative leadership skills, sound reasoning, and judgment.
b. Desire to develop visionary ideas through study, advisement and discussion, including the ability to speak up, listen well, and be receptive to differing views.
c. Interest in board process, and agreement to work within the board’s chosen framework, including development and refinement of new and existing policies.
d. Connection to owners beyond a narrow demographic and an interest in the whole organization.
e. Willingness to publicly stand behind board decisions regardless of personal positions.
To qualify as a board candidate, you must be an owner in good standing and be willing to devote time to prepare for and attend board meetings and events. Candidates are requested to submit a photograph, a brief personal statement, and responses to the candidate questions that follow. The personal statement, plus the responses to the questions, must not total more than 500 words.
Include name, address, owner number, and phone number with the application. Also, include a signed version of the Certification of Compliance, indicating you meet the requirements of the Co+op’s bylaws and are willing to uphold the board’s Code of Conduct.

There are 3 three-year terms open. Voting will take place from October 7, 2017 through November 7, 2017. New board members will be officially seated at the November 2017 board meeting.
Candidates are encouraged to attend the Annual Meeting and share their interest with those owners present. The Annual Meeting will take place on Saturday, October 7, 2017 at the Co+op.
Kindly refrain from campaigning in the Co+op. Candidates are strongly encouraged to attend board meetings! Board meetings are usually held on the fourth Wednesday at 6 PM in the community room. The board operates within a governance process that will likely be new to candidates; observing at least one board meeting may help you gain a clearer understanding of how the governance process works.
BOARD CANDIDATE CERTIFICATION OF COMPLIANCE
Candidates must meet the following requirements.
1. I am an honest and caring person.
2. I will find sufficient time to devote to duties as a director.
3. I am an owner of MVM Co+op in good standing.
4. I am not: a. the General Manager of MVM Co+op; b. a MVM Co+op staff person directly supervised by the GM; c. any person directly supervised by the board of directors.
5. I am at least 21 years old.
6. I am not a convicted felon.
7. I am committed to cooperation as a viable economic relationship.
As part of my application to run for the board of directors of MVM Co+op, I certify that I am in compliance with the above requirements for board candidacy. I understand that any deliberate or accidental misrepresentation of my compliance may result in disqualification as a candidate and/ or removal if I am elected.
MVM Co+op Board of Directors Job Description Responsibilities
1. Minimum Director Requirements
a. Attend and participate in monthly board meetings and scheduled study and engagement sessions.
b. Attend and participate in the Annual Meeting and other meetings of owners.
c. Participate in scheduled training and planning sessions.
d. Participate in board committees and task forces.
2. Attendance and Schedule
a. Arrive on time to meetings.
b. Be reasonably accessible to owners and participate in Co+op events.
c. Fulfill any rotating duties, such as tabling, or meeting officer duties.
a. Support and further develop Ends statements and other board policies that reflect the needs of the owners.
b. Ensure financial solvency and integrity of the Co+op by reviewing monitoring reports.
c. Support the agreements of the board of directors.
d. Perform tasks conveyed by the board of directors.
e. Follow through on commitments.
f. Understand and participate in the board's decision making process.
g. Keep informed of the affairs of the Co+op and be prepared to discuss issues before the board (such as attending staff meetings when possible).
h. Evaluate the general manager's performance based on monitoring reports.
i. Participate in board self evaluations.
j. Learn about cooperative organizations and the natural foods industry.
4. Connection To Owners
a. Consider at all times owner input in decision making.
b. Keep owners informed about the affairs of the Co+op.

b. Use agreed upon communications systems (such as the board e-mail) to share relevant information.
c. Set clear and reasonable boundaries.
